By ticking "I have read Terms of Service and Privacy Policy, I understand them and I hereby declare to abide by them", the User accepts the following terms and conditions ("Terms of Service"):

1. Terms of Service determine the terms and conditions of online services provision by Simple Access Solutions Sp. z o.o. with its registered office in POLAND, Poznań 61-806, ul. Święty Marcin 29/8. The services shall be provided via www.soleadea.org.

2. The User needs to accept the Terms of Service in order to be able to make use of the Service Provider's web sites ("Soleadea service") or Online Services.

DEFINITIONS

I.1. Terms of Service – herein terms and conditions I.2. Service Provider - Simple Access Solutions sp. z o.o., ul. Święty Marcin 29/8, 61-806 Poznań, REGON: 301967172, NIP (Tax Payer Number): 7792402082, KRS (National Court Register): 0000403988 I.3. Data Controller – the Service Provider I.4. Customer – User I.5. User – any natural person who entered into the Agreement with the Service Provider I.6. Agreement – an agreement on provision of online services entered into in compliance with the terms and conditions determined in the Terms of Service I.7. Provision of Online Services – services provided, at a distance (without the parties being simultaneously present), by means of electronic equipment, for the processing (including digital compression) and storage of data, and entirely transmitted, conveyed and received over telecommunications lines, and at the individual request of a recipient of services, as defined in the Polish Act of 16 July 2004 on telecommunications law (ustawa z dnia 16 lipca 2004 r. – Prawo Telekomunikacyjne, published in Polish Journal of Laws: Dz. U. No. 171, item 1800, as amended); I.8. soleadea.org – web sites of the Service Provider, accessible at www.soleadea.org, via which the online services are provided; I.9. Online Services – online services provided via soleadea.org to the Customer by the Service Provider, in compliance with the binding law as well as the provisions of Terms of Service; I.10. Registration Form – a form filled in by the User to enter into the Agreement for an unlimited period of time; I.11. Contact Form – a form filled in by the User to contact the Service Provider available at https://www.soleadea.org/contact-us ; I.12. Password – a unique set of signs being in accordance with the technical requirements of the Service Provider, of the User's choice, allowing authorized access to the account and preventing it from the unauthorized access; I.13. Account – a collection of data and settings stored in the Service Provider's database for the User as a part of making use of soleadea.org; I.14. E-mail – a unique electronic address of the User; I.15. Activation – an actual action required to enter into Agreement; I.16. Telecommunication System – a set of cooperating telecommunication equipment and software which enables data processing, storage, sending and reception via telecommunication network by means of relevant end-user's terminal, as defined in the Polish Act of 16 July 2004 on telecommunications law (ustawa z dnia 16 lipca 2004 r. – Prawo Telekomunikacyjne, published in Polish Journal of Laws: Dz. U. No. 171, item 1800, as amended); I.17. Newsletter – an electronic bulletin sent by the Service Provider to the Users who gave their voluntary consent for its delivery by ticking "I want to receive important deadline reminders, pre-exam tips, interesting blog posts notifications and special offers" at registration or while signing up for our workshops; I.18. Pricing – a current list of prices for provided services.

ONLINE SERVICES AND THE SCOPE OF SERVICES

II.1. The User shall be entitled to: a) create User's Account in the soleadea.org website, free of charge; b) access the limited "Free PLAN" service, free of charge, and other free of charge services available at soleadea.org; c) access the chargeable “Pay-What-You-Can PLAN” service through a monthly subscription; d) access the chargeable "Motivation PLAN" or "Knowledge Retention PLAN" services through monthly subscription; e) access the chargeable "Knowledge Retention PLAN" service through one-time payment either for a limited period of time or for a lifetime (aka. “Lifetime PLAN”), where lifetime means until all 3 levels of CFA exam are passed; f) access other chargeable add-on services such as paid consultations, workshops, or stand-alone products.

II.2. Both free and paid PLANS include 'Keep me on track' notifications that are an integral part of the Online Services. The Online Services cannot be provided separately from the notifications, which are to promote systematic learning by urging the User to sum up his or her study achievements each week.

II.3. The User can choose the “Pay-What-You-Can PLAN” upon registration or while using the limited "Free PLAN" service. The “Pay-What-You-Can PLAN” is a recurring monthly subscription charged in advance. To cancel the monthly “Pay-What-You-Can PLAN” subscription, the User is obliged to contact the Service Provider via Contact Form available at https://www.soleadea.org/contact-us.

II.4. If the User uses the limited "Free PLAN" service, the "Free PLAN" may be blocked or even deleted if the User does not choose any of the options available in the “Pay-What-You-Can PLAN” during the 14-day period of using the "Free PLAN".

II.5. In the case of “Pay-What-You-Can PLAN” service, the User is entitled to a 7-day money-back guarantee, where the 7-day period starts on the day of creating the “Pay-What-You-Can PLAN”. However, the Service Provider may refuse to refund the money if the User creates the “Pay-What-You-Can PLAN” within a fortnight of an upcoming CFA exam window.

II.6. The User is entitled to use a 7-day Free Trial on "Motivation PLAN" and "Knowledge Retention PLAN" (except for e-books). Every User can use the Free Trial only once. To cancel Free Trial, the User is obliged to follow PayPal instructions for recurring payments or contact the Service Provider via Contact Form available at https://www.soleadea.org/contact-us. If not cancelled, after 7 days the Free Trial converts automatically into a recurring monthly subscription charged in advance. To cancel a monthly subscription, User is obliged to follow PayPal instructions for recurring payments or contact the Service Provider via Contact Form available at https://www.soleadea.org/contact-us.

II.7. Specific terms and conditions of making use of the Online Services and their scope are determined in the Terms of Service and the Pricing.

II.8. The Service Provider reserves the right to make amendments to the provided Online Services and their scope, including upgrades and any reasonable adjustments or modifications.

TECHNICAL REQUIREMENTS

III.1. The User may use soleadea.org only in cooperation with the Service Provider's Telecommunication System, via a computer or any other electronic device (e.g. smartphone) used by the User, connected to the Internet and with the web browser switched on.

III.2. It is recommended that the User updates the web browser to the most up-to-date of available versions for the comfort of the User's work.

III.3. Access to soleadea.org is not restricted in territory nor in time by the Service Provider.

TERMS OF ENTERING INTO THE AGREEMENT

IV.1. The Agreement is entered into by the Service Provider and the Customer – the parties to the Agreement.

IV.2. By the User’s Account Activation (due to filling in the Registration Form), the User enters into the Agreement with the Service Provider for an unlimited period of time.

IV.3. If the User wants to use one of the chargeable Online Services (cf. II.1 above), the User agrees that he/she will make payment in compliance with the pricing for the particular service of the User’s choice.

IV.4. The payment includes remuneration not only for the provision of service but also for the Service Provider's readiness to provide the service. If any of the two cases occurs, the User is not entitled to any refund (to cancel a monthly subscription, the User is obliged to contact the Service Provider via Contact Form available at https://www.soleadea.org/contact-us or follow PayPal instructions for recurring payments).

REGISTRATION

V.1. Registration at soleadea.org is voluntary and free of charge.

V.2. Registration procedure consists of filling in the Registration Form and accepting the Terms of Service. Registration generally takes place via https://soleadea.org/cfa-exam/study-planner and allows the User to create the Free Study Plan, but sometimes also via various dedicated pages to enable access to different free services such as a mock exam or free e-books. The Service Provider does not control nor verify Users' data.

V.3. When registering, the User is asked to give his or her First name, E-mail address, Exam date, and set Password. These are the data necessary to run the User’s Account.

V.4. The User agrees to give the Service Provider the actual and proper E-mail address which is necessary to manage the User's Account properly.

V.5. If there happens to be any problem concerning Account Activation and/or logging in, Users may contact the Service Provider via Contact Form available at https://www.soleadea.org/contact-us.

V.6. The User may access his or her Account with E-mail and Password. The User must not disclose his or her Password to any third parties.

USER'S (YOUR) RIGHTS AND OBLIGATIONS

VI.1. The User guarantees that the content he/she generates via soleadea.org does not infringe any third parties' rights. In particular, the User agrees to: a) refrain him/herself from undertaking any actions resulting in infringement of intellectual property rights or personal rights of third parties; b) refrain him/herself from publishing content that is offensive or illegal and/or infringes legally protected personal rights of third parties; c) refrain him/herself from using soleadea.org to publish advertisements of goods or services or any other commercial information, or other information constituting spam or unsolicited commercial communication; d) refrain him/herself from using soleadea.org to place active links to infected websites owned by third parties; e) refrain him/herself from using soleadea.org in an illegal manner or manner contrary to good practice as well as in a manner that results in the infringement of personal rights of third parties and/or is detrimental to the legitimate interests of the Service Provider; f) refrain him/herself from any actions which could impede or disturb the functioning of soleadea.org, in particular by providing malicious code or infected files willfully; g) use soleadea.org in accordance with its destination.

VI.2. The User must not co-share with or sell to anybody his or her PLAN, either free or paid. This especially holds for, though is not limited to, the lifetime access to "Knowledge Retention PLAN". If the User violates this provision, the access to the PLAN he or she uses or used may be blocked by the Service Provider. The violation may also have other consequences for the User, including litigation.

VI.3. Users may ask questions concerning any technical matters via Contact Form available at https://www.soleadea.org/contact-us .

SERVICE PROVIDER'S RIGHTS AND OBLIGATIONS

VII.1. The Service Provider may terminate the Agreement effective immediately if the User does not comply with his/her obligations as determined in VI.1 of the Terms of Service.

VII.2. The Service Provider reserves the right to block the User’s account if the User does not comply with his/her obligation as determined in VI.2 of the Terms of Service.

VII.3. The Service Provider reserves the right to manage Online Services via the User's Account and to edit the User's profile data if necessary.

VII.4. The Service Provider reserves the right to interfere in the User's Account if the intrusion is necessary to solve a problem reported by the User.

VII.5. The Service Provider reserves the right to conduct maintenance works on soleadea.org.

USER'S (YOUR) LIABILITY

VIII.1. The User is solely liable for his/her use of soleadea.org, in particular for the content of his/her messages posted e.g. in the form of comments which infringe binding law or rights of third parties.

VIII.2. Upon obtaining formal notice or acquiring actual knowledge of illegal activity or information provided by the User via soleadea.org, the Service Provider informs the User of these facts and disables access to the information, in compliance with the binding law.

LIMITATION OF SERVICE PROVIDER'S LIABILITY

IX.1. The Service Provider makes its Telecommunication System available solely in order to store Users' data. The Service Provider's activity is limited to the storage of Users' data and their transmission on the Internet.

IX.2. The Service Provider does not moderate data entered by the User.

IX.3. Upon obtaining formal notice or acquiring actual knowledge of illegal activity or information provided by the User via soleadea.org, the Service Provider informs the User of these facts and disables access to the information in compliance with the binding law. The Service Provider is not liable for any damages suffered by the User and resulting from disabling access to the information or any loss of income.

IX.4. In case soleadea.org does not work properly, entirely or partially, the Service Provider will make every effort to eliminate each and every inconvenience resulting from the faulty functioning of soleadea.org. Every User may participate in improving soleadea.org and report their remarks via Contact Form available at https://www.soleadea.org/contact-us.

IX.5. The Service Provider is not an Internet access provider.

IX.6. The Service Provider is not liable for any infringing use of the content of soleadea.org. In particular, the Service Provider has no influence on activities being or not being taken up by anyone.

COMPLAINTS

X.1. The User may file a complaint about the Online Service by sending a message (in which he/she describes the subject of the complaint, circumstances justifying the complaint, and the scope of demand). The complaint should be submitted via Contact Form available at https://www.soleadea.org/contact-us.

X.2. The complaint should be examined within 14 days of its delivery.

TERMINATION OF THE AGREEMENT

XI.1. The Service Provider may retract the Agreement within 14 days of entering into the Agreement.

XI.2. The User may terminate the Agreement at any time without giving a reason. Termination of the Agreement is done by:

  • FOR THE FREE USER: hitting the Cancel Account button in the Edit Profile tab at soleadea.org,
  • FOR THE MONTHLY SUBSCRIPTION USER: canceling the subscription (by contacting the Service Provider via Contact Form available at https://www.soleadea.org/contact-us or according to PayPal instructions) and hitting the Cancel Account button in the Edit Profile tab at soleadea.org; the User’s access to the purchased Online Services is no longer possible; no refunds are available,
  • FOR THE ONE-TIME-PAYMENT USER: hitting the Cancel Account button in the Edit Profile tab at soleadea.org; the User’s access to the purchased Online Services is no longer possible; no refunds are available.

XI.3. The User’s Account cancellation is done by clicking a confirmation link after you cancel your account at https://soleadea.org/user.

XI.4. All data contained in the Account are deleted from soleadea.org upon the Account closure but may be still stored for some time in the backup copy (cf. XI.5. below).

XI.5. The Service Provider may store Users' data for the purpose of any parties' claims that may arise in the future. The data will be stored for the shortest time required by law.

PRIVACY

XII.1. Data Controller shall be Simple Access Solutions sp. z o.o., ul. Święty Marcin 29/8, 61-806 Poznań, POLAND.

XII.2. Data Controller guarantees that Users' data is stored in a secure manner. The data is protected and secured against any unauthorized access.

XII.3. The User's personal data is processed in compliance with binding law on personal data protection, including the EU 2016/679 General Data Protection Regulation and Polish Act of 10 May 2018 on personal data protection (ustawa z dnia 10 maja 2018 r. o ochronie danych osobowych, Dz. U. 2018 item 1000) and related administrative acts. Data Controller processes data in accordance with implemented Privacy & Cookies Policy (for more details, see here).

XII.4. Data Controller processes Users' personal data: a) within the scope of and for the sole purpose of entering into, determining the content of, amending, terminating the Agreement or proper provision of Online Services; b) within the scope of and for the sole purpose of sending Newsletter; c) within the scope of and for the sole purpose of Online Services improvement.

XII.5. Users may access, correct, amend, delete, or request to erase the data which are processed by Data Controller at any time.

XII.6. Deletion of the User's personal data may occur in the event of: a) termination of the Agreement, b) resignation from the Newsletter, c) request to erase the data.

XII.7. Termination of the Agreement and/or request to erase the data result in Data Controller refraining from further data processing as well as the closure of Account and deletion of all data contained in that Account (cf. XI.4 and XI.5 above).

XII.8. Data Controller does not disclose any User's personal data to anyone apart from entities which are legally entitled to access the data (e.g. prosecution agencies).

INTELLECTUAL PROPERTY

XIII.1. The Service Provider is the only owner and holder of any rights related to soleadea.org, in particular author's economic rights to screen presentations, applications, and graphic elements.

XIII.2. It is forbidden to make use of soleadea.org which would result in infringement of the Service Provider's or third parties' rights. In the event of such infringing behavior, the Service Provider will take legal action against the infringer.

XIII.3. By uploading any content and/or graphic elements, the User grants to the Service Provider non-exclusive license to make use of, save in the computer's memory, modify, delete, complete, perform in public, display to the public, reproduce and disseminate (including dissemination on the Internet) the herein data, in place and time chosen by any User, via soleadea.org.

GENERAL INFORMATION

XIV.1. The content of the Terms of Service is available at https://www.soleadea.org/terms-of-service. The website allows displaying Terms of Service on the screen.

XIV.2. The Service Provider reserves the right to modify the Terms of Service at any time and from time to time. In the event of substantial modification of the Terms of Service, the Service Provider will inform Users of the modification at least 14 days prior to the modification becoming effective. The notice will be sent to the User's E-mail.

XIV.3. In the event of substantial modification of the Terms of Service, Users may terminate the Agreement up to the point when the modification becomes effective. If the User does not inform the Service Provider of his will to terminate the Agreement or if the User does not terminate the Agreement up to the point when the modification becomes effective, the User is bound by the modified Terms of Service.

XIV.4. Modifications of the Terms of Service, their scope, and services which are not contrary to the terms of Agreement do not constitute a substantial modification.

XIV.5. In the event of changes or cancellation due to a final court decision of any of the provisions of these Terms of Service, the remaining provisions remain in force.

XIV.6. The Terms of Service (including Pricing, Privacy and Cookies Policy, and any other policies or guidelines) constitute the entire Agreement between the User and the Service Provider.

XIV.7. The terms and the relationship between Users and the Service Provider shall be governed by Polish law.

XIV.8. In the event of any dispute, the Service Provider declares his willingness to settle.

XIV.9. The Terms of Service have been effective since 14 July 2013, and updated meanwhile for the sake of EU 2016/679 General Data Protection Regulation compliance.
